Promotional Program Terms of Service

Please read these Terms of Service (these “Terms”) to learn more about how you may be able to earn promotions, rewards, offers or other incentives (each, a “Reward”) for certain actions you take on uma.me during a specified period of time (the “Promotional Period” and, collectively, the “Promotional Program”) and the rules and restrictions that apply to the Promotional Program.

These Terms are a binding contract between you and Lightspark Group, Inc. (“Lightspark”, “we”, and “us”). Your participation in and use of the Promotional Program in any way means that you agree to all of these Terms, and these Terms will remain in effect while you participate in and use the Promotional Program. These Terms include the provisions in this document and incorporate by reference the provisions included in our Privacy Policy.
These Terms are in addition to the terms and conditions included in the Terms of Use that generally apply in connection with your use of our website, uma.me (including its subpages and subdomains (including uma.me/terms, uma.me/terms-link, uma.me/terms-promotional), the “Website”). Such terms and conditions (the “General Terms”) are incorporated herein by reference and you understand that by participating in the Promotional Program, you agree that the General Terms also apply with respect to the Promotional Program and that you will comply with the General Terms. In the event of any conflict between these Terms and the General Terms, these Terms will govern in relation to your participation in and use of the Promotional Program. Capitalized terms used but not defined herein have the meaning given to them in the General Terms.
Please read these Terms carefully. They cover important information about the Promotional Program and related areas of the Website. These Terms also include information about future changes to these Terms and limitations of liability. By participating in and using the Promotional Program or accessing or using any related areas of the Website, you accept and unconditionally agree to be bound and to abide by these Terms. PLEASE NOTE THAT YOUR PARTICIPATION IN AND USE OF THE PROMOTIONAL PROGRAM AND USE OF AND ACCESS TO ANY RELATED AREAS OF THE WEBSITE ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT PARTICIPATE IN OR USE THE PROMOTIONAL PROGRAM OR USE OR ACCESS ANY RELATED AREAS OF THE WEBSITE IN ANY MANNER.
What are the rules and restrictions?
These Terms cover rules and restrictions that are generally applicable to the Promotional Program and all Rewards we may offer from time to time.
Additional details, rules and restrictions relating to any particular Reward, including regarding eligibility, Reward amounts, Reward limits, duration of the Promotional Period, Reward payment date and Reward payment currency, are included in an email sent to you relating to the applicable Reward offer (a “Reward Offer Email”) and/or on our Website relating to the applicable Reward offer (the “Promotional Program FAQ”).
We identify your eligibility for a Reward in our sole discretion. Reward amounts, number of participants in the Promotional Program for each Reward, number of Rewards per person, duration of the Promotional Period and the Reward payment date are determined in our sole discretion and may vary at any time for any reason. We have no obligation to provide any Reward, any part of the Promotional Program or any other products or services to you. Any Reward offers are only valid during the applicable Promotional Period.
To participate in the Promotional Program, or claim or receive a Reward, you must be at least 18 years old. You may be able to claim or receive a Reward only if you are located in or reside in certain jurisdictions as specified in the relevant Reward Offer Email or applicable Promotional ProgramFAQ. If you are an employee of Lightspark or an employee or affiliate of any of our financial institution or VASP partners, you may not participate in the Promotional Program and are not eligible to earn a Reward.
To conduct transactions using your UMA address and claim or receive a Reward, you must have an uma.me account. You can use your existing uma.me account if you already have one or create a new uma.me account by visiting link.uma.me/create-account. For more information on creating, managing and using your uma.me account and additional rules and restrictions that apply to your uma.me account, please see our General Terms, uma.me/terms-link. If you do not have an uma.me account or do not wish to create an uma.me account, you will not be able to conduct transactions using your UMA address or claim or receive a Reward.
To be eligible to earn a Reward through the Promotional Program, your uma.me account must be active and in good standing. Your uma.me account may show a pending incoming transfer before you are able to access the transferred funds. If you choose to close your uma.me account, any Reward will be canceled and any Reward amount that has not yet transferred to your uma.me account will be forfeited. If your uma.me account has been suspended, is subject to a hold, or is otherwise restricted in such a manner as to prevent incoming transfers, any Reward will be canceled and you will forfeit any amount you would have otherwise received pursuant to a Reward. If the person you intend to send money to using your UMA address does not create an uma.me account or conduct the transaction with you, or if the person you referred does not complete the onboarding process, we may cancel any Reward and otherwise do not have any obligation to provide you with a Reward in that circumstance. We reserve the right to any remedy, including cancellation of any Reward, if any fraud, tampering or violations of these Terms are suspected or occur. If we are notified of a court order or other legal process (including garnishment or any equivalent process) affecting you, or if we otherwise believe we are required to do so in order to comply with applicable law or regulatory requirements (including with respect to sanctions checks), we may be required to take certain actions, including canceling your Reward. We will have no liability to you based on any human or other error made in providing any Reward. You agree that Lightspark will not have any liability to you as a result of such cancellation, failure or forfeiture.
You may receive a Reward offer from us via email or paid media, but the Reward amount will not be disbursed to your uma.me account unless you have completed all of the applicable steps as described in these Terms and in the applicable Reward Offer Email and/or Promotional ProgramFAQ. Please note that you may not be notified at the time when you earn a Reward.
For transactions and referrals successfully completed by the end of the applicable Promotional Period, the Reward amount as specified to the applicable Reward offer will be sent to the applicable uma.me account on the Reward payment date as specified in the applicable Reward Offer Email and/or Promotional ProgramFAQ. You will need to link a third-party bank account to your UMA address through your uma.me account to receive UMA-related payments in that bank account. For more information on linking and unlinking bank accounts and additional rules and restrictions that apply to your uma.me account, please see our General Terms, https://www.uma.me/terms-link, https://www.uma.me/terms-promotional. There may be a delay in the time it takes for an earned Reward amount to be disbursed to your linked bank account. We will aim to send you an email notification when we send you your Reward amount.
You may only send money to and refer family and personal friends and acquaintances.
For any Rewards based on referring uma.me to new uma.me users, the referral invitation link should be provided directly to your family and personal friends and acquaintances. In no event may you attempt to refer yourself through the Promotional Program. If two or more referrers invite the same referee, we will credit the Reward to the person whose referral invitation was accepted first by the referee, as determined in our sole discretion. Additionally, you may not use any paid advertisement to promote the Promotional Program (for example, paid search marketing, advertisements, affiliate networks, paid email campaigns or similar methods).
Any Reward offers that we send you are intended solely for you and solely for promotional purposes and cannot be sold, purchased, or exchanged for cash or other consideration. Unless and until a Reward amount is transferred to your uma.me account, no tangible or intangible right, title, or interest in such Reward amount has been conveyed or earned. Rewards are void where prohibited by federal, state or local laws.
What else do I need to know?
Modifications. We have the right to suspend, modify, limit or cancel any Reward offers or amounts or any part of the Promotional Program at any time in our sole discretion, with or without notice, for any or no reason, including if, in our opinion, you have violated any provision of these Terms. If, in our opinion, you have violated any provision of these Terms, we may also limit your access to the Website or any part of the Promotional Program, or take legal action against you. You are responsible for all claims, fees, fines, penalties and other liability incurred by us, any other uma.me user or any third party caused by or arising out of your breach of these Terms.
Third Party Actions. You understand that Lightspark is only providing you with the Promotional Program. Lightspark has no control over the transactions conducted using your UMA address or actions of other users or the financial institutions or VASPs providing UMA-related transaction services, including the jurisdictions in which such financial institutions or VASPs operate, completion of the onboarding process with such financial institution or VASP partner and other actions that could delay or prevent a Reward from being sent to you. If you have any questions or concerns regarding any transactions conducted using your UMA address, please contact your financial institution or VASP. We also encourage you to read the terms and conditions and privacy policy of your financial institution or VASP, which should be made available to you by that financial institution or VASP.
Cryptocurrency services. For U.S. users, cryptocurrency transaction and custody services are powered by Zero Hash LLC and Zero Hash Liquidity Services LLC. When you enable the Services, you must also agree to the Zero Hash LLC and Zero Hash Liquidity Services LLC terms and conditions and enable your Zero Hash account. Cryptocurrency assets are held and custodied by Zero Hash LLC, not Lightspark. Zero Hash services may not be available in all states. Cryptocurrency assets are not subject to Federal Deposit Insurance Corporation or Securities Investor Protection Corporation coverage. The value of any cryptocurrency, including digital assets pegged to fiat currency, commodities, or any other asset, may go to zero. Zero Hash LLC is licensed to engage in Virtual Currency Business Activity by the New York State Department of Financial Services.
Collection of Personal Information. We may collect or otherwise process certain information, including personal information, about you that is necessary for us to provide the Promotional Program and for other purposes consistent with our Privacy Policy. You agree that all information we collect or otherwise process about you, including through the Promotional Program, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
Communications from us. As part of the Promotional Program, you may receive communications from us, including messages that we send you (for example, via email). For example, we may send you emails when you create your UMA address, when the person you intend to send money to has completed onboarding and when you have conducted a transaction using your UMA address. You consent to the receipt of emails and other messages from Lightspark. You have the right to ask us not to send you marketing messages, including via email, at any time by contacting Lightspark customer service at support@uma.me.
Warranty Disclaimer. The Lightspark Parties make no representations or warranties concerning the Promotional Program, including regarding any related areas of the Website, and the Lightspark Parties will not be responsible or liable for the accuracy or legality of the Promotional Program or any related areas of the Website or any claims, actions, suits, procedures, costs, expenses, damages or liabilities arising out of use of, or in any way related to your participation in, the Promotional Program or any related areas of the Website. The Lightspark Parties make no representations or warranties regarding suggestions or recommendations of the Promotional Program or any related areas of the Website (when applicable).
Lightspark does not:
- provide a deposit or other financial account or other financial or transaction services;
- act as an escrow agent with respect to any money sent to you on uma.me;
- act as your agent or trustee;
- guarantee the identity of any link.uma.me user;
- determine if you are liable for any taxes; or
- collect or pay any taxes that may arise from any Reward provided to you or your use of, or participation in, any part of the Promotional Program.
YOUR PARTICIPATION IN AND USE OF THE PROMOTIONAL PROGRAM (INCLUDING YOUR UMA.ME ACCOUNT) AND ANY RELATED AREAS OF THE WEBSITE IS AT YOUR OWN RISK. THE PROMOTIONAL PROGRAM AND ANY RELATED AREAS OF THE WEBSITE ARE PROVIDED BY LIGHTSPARK (AND ITS LICENSORS AND SUPPLIERS) ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, AND NO LIGHTSPARK PARTY MAKES ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITH RESPECT TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE PROMOTIONAL PROGRAM OR ANY RELATED AREAS OF THE WEBSITE OR THAT THE PROMOTIONAL PROGRAM OR ANY RELATED AREAS OF THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE PROMOTIONAL PROGRAM OR ANY RELATED AREAS OF THE WEBSITE, OR THE SERVER THAT MAKES THEM AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE PROMOTIONAL PROGRAM OR ANY RELATED AREAS OF THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) WILL ANY OF THE LIGHTSPARK PARTIES BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, (B) ANY SUBSTITUTE GOODS, SERVICES, WEBSITE OR TECHNOLOGY, (C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF ONE-HUNDRED DOLLARS ($100), (D) ANY MATTER BEYOND OUR REASONABLE CONTROL, (E) ANY CONTENT, ACTIONS OR INACTIONS OF THIRD PARTIES, INCLUDING OUR FINANCIAL INSTITUTION, VASP OR OTHER PARTNERS OR (F) ANY SUSPENSION OR OTHER ACTION TAKEN WITH RESPECT TO ANY REWARD. THIS IS TRUE EVEN IF THE LIGHTSPARK PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL OR CERTAIN OTHER DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
Indemnity. You hereby agree to indemnify, defend and hold harmless the Lightspark Parties from and against any and all claims, liabilities, damages (actual and consequential), judgments, awards, losses, costs, expenses or fees (including attorneys’ fees) arising from or in any way relating to (a) your participation in or use of the Promotional Program (including your uma.me account), or any part thereof, or any related areas of the Website, (b) your choice of UMA address, including any infringement or other violation of any intellectual property, contractual, publicity, privacy or other rights of anyone else (including Lightspark), (c) the actions or inactions of any third party to whom you grant permissions to use your uma.me account, (d) your violation of these Terms, (e) your violation of applicable laws or regulations and (f) your gross negligence, willful misconduct or fraud.
Prevailing Language. In the event of any discrepancy between the English language version of these Terms and any foreign language translation, the English version prevails. Any other language versions of these Terms are provided for convenience only.
US2MX Promotional Program FAQ

Lightspark Group, Inc. (“Lightspark”, “we”, and “us”) is offering you the opportunity to earn certain promotions, rewards, offers or other incentives (each, a “Reward”) for certain actions you take on uma.me during a specified period of time (the “Promotional Period” and, collectively, the “Promotional Program”). Please see below to learn more about how you may be able to earn a Reward and certain rules and restrictions that apply to the Promotional Program. Please see our general Promotional Program Terms of Service here for additional rules and restrictions that apply.
What Rewards are available, who is eligible and how do I participate?
The following promotions may be made available by us during the Promotional Period from December 12, 2024 to January 6, 2025:
- UMA-related transaction fees may be waived for money sent from the U.S. to Mexico.
Eligibility Details: You must be located in the U.S. and send money using your UMA address to an uma.me user in Mexico. Users who are residents or located in NY are not eligible for this Reward. - You may receive an offer from us via email or paid media to earn a Reward when you conduct your first transaction using your UMA address to send money to a uma.me user in Mexico.
Eligibility Details: You must be located in the U.S. (other than in or a resident of the state of New York) and send money using your UMA address to a uma.me user in Mexico for the first time. Only senders who have never sent money to uma.me users in Mexico will be eligible for this Reward. This Reward is not available to individuals located in or a resident of the state of New York at this time.
Reward Amount: The Reward amount is $10 (USD). We reserve the right to change the Reward amount at any time in our sole discretion, with or without notice.
Reward Limit: There is a limit of one (1) Reward per sender. - You may receive an offer from us via email or paid media to earn a Reward when you refer uma.me to new uma.me users in the U.S. (other than in the state of New York).
Eligibility Details: You must be located in the U.S. (other than in or a resident of the state of New York) or Mexico and refer uma.me to a new uma.me user in the U.S. (other than in or a resident of the state of New York). You may refer a new uma.me user by sending them an email, text or social media post that includes an invitation link, provided by us, to participate in the Promotional Program. Only new uma.me users who have never had an uma.me account will be eligible referees for the Promotional Program. The referee must complete the entire onboarding process for an uma.me account (e.g., creating an UMA address and linking an UMA address to a bank account) by the end of the Promotional Period for the referrer to earn a Reward. Please note that the referee must initiate the referral invitation link within link.uma.me and stay on link.uma.me (and not navigate to another website) during the entire onboarding process in order for us to track and credit the Reward to the referrer. For more information on the uma.me account onboarding process and additional rules and restrictions that apply to your uma.me account, please see our General Terms, link.uma.me Terms of Service. Please note that this Reward is not available to individuals located in or resident of the state of New York at this time.
Reward Amount: The Reward amount is $10 (USD), which may in our sole discretion be paid to you in USD or MXN. We reserve the right to change the Reward amount at any time in our sole discretion, with or without notice.
Reward Limit: There is a limit of one (1) Reward per referrer.
For transactions and referrals successfully completed by 11:59pm PST on December 31, 2024, the applicable Reward amount as specified above will be sent to the applicable uma.me account on or around January 6, 2025. We will send no more than $20 for all Rewards described above per uma.me account as part of the Promotional Program. All payments will be paid to you in USD or MXN only.
